These Terms of Service ("Terms") are a legal agreement between you and Comersify, Inc. ("Comersify," "we," "us," or "our"). They govern your access to and use of the Comersify platform, a commercial real estate application that connects landlords and prospective tenants for property discovery, tour scheduling, and lease management (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

The Service, including its design, features, code, and content (excluding user-submitted content), is owned by Comersify or its licensors and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right to use Comersify's trademarks, logos, or branding without prior written consent. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose, subject to these Terms.
You retain ownership of content you submit to the Service (such as property listings, photos, and messages). By submitting content, you grant Comersify a worldwide, non-exclusive, royalty-free license to use, reproduce, and display that content as necessary to operate and provide the Service.
You represent that you have the right to submit any content you provide and that such content does not infringe the rights of any third party.
We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms. You may also stop using the Service and close your account at any time.
Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including, without limitation, intellectual property, disclaimers, limitation of liability, and indemnification) will survive.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, COMERSIFY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. COMERSIFY DOES NOT ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PROPERTY LISTED ON THE SERVICE OR ANY TRANSACTION BETWEEN USERS.
TO THE FULLEST EXTENT PERMITTED BY LAW, COMERSIFY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF COMERSIFY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO COMERSIFY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
You agree to indemnify, defend, and hold harmless Comersify and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (a) your access to or use of the Service, (b) your violation of these Terms, or (c) your violation of any third-party right, including any intellectual property or privacy right.
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law principles.
Any dispute arising out of or relating to these Terms or the Service shall first be resolved through good-faith negotiations. If the dispute cannot be resolved within thirty (30) days, either party may submit the dispute to binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware, and the arbitrator's decision shall be final and binding.
Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction for matters relating to intellectual property or unauthorized access to the Service.
We may update these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on this page and updating the "Last Updated" date. Where required by law, we will provide additional notice. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Comersify regarding the Service and supersede all prior agreements and understandings.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
The failure of Comersify to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
You may not assign or transfer these Terms without our prior written consent. Comersify may assign these Terms without restriction.
